Mobileye Global Inc. entered into a definitive agreement to acquire Mentee Robotics Ltd. for $900 million in a cash-and-stock deal that unites the Israeli self-driving technology firm's artificial intelligence systems with the startup's humanoid robot platform.
The transaction, announced Jan. 6 at the Consumer Electronics Show (CES 2026) in Las Vegas as reported by WSJ, includes $612 million in cash and up to 26.2 million shares of Mobileye Class A common stock, subject to adjustments based on the vesting of any Mentee options before closing.
The acquisition is expected to close in the first quarter of 2026, pending customary conditions. Mentee Robotics, founded in 2022, develops a third-generation, vertically integrated humanoid robot designed for scalable deployment in factories, warehouses and industrial settings.
The startup's platform integrates hardware such as proprietary actuators, precision motor drivers and robotic hands with software focused on human-to-robot mentoring, few-shot learning and simulation-based training to enable autonomous task execution without teleoperation.
Mobileye, majority-owned by Intel Corp., generates its core revenue from advanced driver-assistance systems and autonomous vehicle technology, with a current automotive revenue pipeline of $24.5 billion over the next eight years.
The deal expands Mobileye's focus into physical artificial intelligence, applying its context-aware reasoning and safety models to humanoid robotics for applications beyond automotive.
Amnon Shashua, who founded Mobileye and co-founded Mentee, recused himself from the Mobileye board's consideration and approval of the transaction due to his stake in the startup.
“Today marks a new chapter for robotics and automotive AI, and the beginning of Mobileye 3.0,” said Prof. Amnon Shashua, President and CEO of Mobileye.
Prof. Lior Wolf, CEO of Mentee Robotics, said:
“I am immensely proud of what Mentee’s multidisciplinary team has accomplished in just four years. We set out to build a platform that combines cutting-edge AI with deeply integrated hardware to make humanoid robots truly useful in real-world environments. Joining forces with Mobileye gives us access to unparalleled AI infrastructure and commercialization expertise, accelerating our mission to bring scalable, safe, and cost-effective humanoid solutions to market.”
Mentee plans first on-site proof-of-concept deployments with customers in 2026, with series production targeted for 2028.
The acquisition positions Mobileye to leverage synergies in multimodal perception, world modeling and intent-aware planning shared between autonomous driving and humanoid robotics.
Mobileye's board approved the deal following review by a committee of independent directors, with Intel also granting approval as the company's largest shareholder.
